These terms govern your use of Sekertera, a customer-messaging assistant operated by Nftania Inc., a Delaware corporation ("Nftania", "we"). By using the service you agree to them. If you are agreeing on behalf of a company, you confirm that you may bind that company, and "you" means that company.
Sekertera receives messages sent to your business on supported messaging platforms, drafts replies from the product catalogue, knowledge base and settings you provide, and sends those replies on your behalf. You can pause the assistant, take over any conversation, and review what was sent.
This is the most important clause in these terms, so it is stated plainly. The assistant drafts replies automatically, and those replies go out under your business's name. They are your communications, not ours.
Sekertera sends messages through third-party platforms, including those operated by Meta Platforms and Telegram. Their rules apply to you in addition to these terms. You must:
A platform may suspend or restrict your account for breaking its rules. That is outside our control, and we are not liable for it.
You must not use Sekertera to send unlawful, deceptive, harassing, hateful or infringing content; to impersonate anyone; to gather personal data beyond what your service needs; to promote goods or services you may not lawfully sell; or to attack, overload or reverse engineer the service.
Your catalogue, knowledge base, media and conversations remain yours. You grant Nftania the licence needed to host and process them in order to run the service, including sending message text to the AI providers named in our privacy policy. You confirm you have the rights to the content you upload.
Each business is the controller of its customers' conversation data, and Nftania processes that data on the business's instructions as a service provider. Our privacy policy describes what is processed, who it is shared with, how long it is kept, and how deletion is requested. You must give your own customers whatever notice the law where you operate requires.
Fees, included volumes and billing periods are those stated in the order, quote or plan you accepted. Charges that a messaging platform bills for sending messages are separate, and are yours to pay whether billed to you directly or passed through by us. Unless stated otherwise, fees are exclusive of taxes.
We work to keep the service available, but we do not promise it will be uninterrupted or error free. We may change or discontinue features, and we will give reasonable notice of a change that materially reduces the service.
You may stop using the service at any time. We may suspend or terminate an account that breaks these terms, that puts the service or a messaging platform at risk, or whose fees are unpaid. On termination we delete or return your data as described in the privacy policy.
The service is provided "as is", without warranties of any kind to the extent the law allows, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.
To the extent the law allows, Nftania is not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data. Our total liability arising out of or relating to the service is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
You will defend and indemnify Nftania against claims arising from your content, from the messages sent on your behalf, from your breach of these terms, or from your breach of a messaging platform's rules or of applicable law.
We may update these terms and will post the new version on this page with a new effective date. Material changes take effect 30 days after posting, and continuing to use the service after that means you accept them.
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules, and the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from them.
